Terms of Service
Last updated: November 2026
These Terms of Service ("Terms") govern every quote, proposal, order and service provided by The Good Lead LLC ("The Good Lead", "we", "us") to its clients ("Client", "you"). By accepting a proposal, paying a deposit or setup payment, confirming in writing or verbally, or allowing work to begin, you accept these Terms.
1. Projects and deliverables
1.1. Quotes and proposals are based on our understanding of your requirements at the time of quotation. Changes in scope, additional features or materials not described in the proposal are quoted separately.
1.2. You are responsible for defining your needs and supplying content (text, images, logos, product data, credentials) within two weeks of project start unless otherwise agreed. Delays in supplying content push the delivery schedule accordingly.
1.3. Delivery dates are estimates. We are not liable for delays caused by late content, late feedback, third-party services or events beyond our control.
1.4. Websites are tested on current versions of major browsers (Chrome, Safari, Firefox, Edge) and on current iOS and Android devices. Support for legacy browsers is not included.
1.5. Bugs reported before or at launch are fixed at no charge. Changes requested after launch, or new requirements, are billed as additional work or covered by your care plan within its limits.
1.6. Third-party services (payment processors, booking tools, CRMs, plugins, APIs, AI platforms, advertising platforms) are governed by their own terms. We are not responsible for their availability, pricing changes or policy changes.
1.7. Until full payment, all code, designs and materials remain our property. Upon full payment you receive a non-exclusive, perpetual license to use the deliverables for your business. We retain the right to reuse general techniques, frameworks and non-client-specific code.
2. Websites with SEO included
2.1. Every website we build includes on-page search optimization: technical foundations, page structure, titles and meta descriptions, local business markup and submission to Google Search Console.
2.2. "SEO included" describes the work performed on the website at build time. It is not a guarantee of rankings, traffic or leads (see Section 3).
3. SEO, AI search optimization, Google Ads and marketing services
3.1. SEO, AI search optimization (GEO), Google Ads management and other marketing services are provided on a best-efforts basis. Search engines and AI platforms (Google, Bing, OpenAI, Anthropic, Perplexity and others) control their own results. We do not guarantee rankings, placement in AI-generated answers, impressions, traffic, leads, sales or return on investment.
3.2. Advertising budgets are paid by you directly to the advertising platform. Our fees cover management only.
3.3. Forecasts, estimates and projections are illustrative and non-binding. Only a signed proposal or statement of work defines the contractual scope.
3.4. You are responsible for the accuracy and legality of claims made in your ads, landing pages and business profiles.
4. ADA website compliance services
4.1. Accessibility audits are performed against the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA, the technical standard referenced by courts and the U.S. Department of Justice for ADA compliance. Remediation work addresses the issues identified in the audit.
4.2. There is no official certification of ADA compliance. We do not represent that an audited or remediated website is "ADA certified" or immune from complaints, demand letters or lawsuits. Our reports and statements describe conformance with WCAG at the date of the audit; later content changes may introduce new issues.
4.3. Our services do not constitute legal advice. You should consult an attorney for questions about your legal obligations.
5. Custom software and business applications
5.1. Custom software is quoted per project on the basis of a written specification. Features not in the specification are quoted separately.
5.2. Two models are offered: (a) purchase — a one-time price, after which you receive a non-exclusive, perpetual license to the application code; (b) monthly license — a setup fee plus a monthly subscription for as long as you use the application, with hosting, updates and support included as described in the proposal. Under the monthly license, the code remains our property and the license ends when the subscription ends.
5.3. Warranty: defects in features described in the specification are corrected at no charge for 90 days after acceptance. Changes in third-party APIs, platforms or regulations after delivery are billed as additional work.
5.4. You are responsible for the data entered into the application and for backups of data exported from it, unless a care plan or license explicitly includes managed backups.
6. Care plans, hosting, domains and email
6.1. Every website we build and host requires a care plan (Essential, Advanced or Premium). Care plans include hosting, one domain name, email mailboxes within the plan's limits, software updates, security patches, backups and a monthly allowance of support tickets with the response time stated for the plan.
6.2. Care plans have a 12-month minimum term from launch, then continue month to month. They are billed monthly in advance by automatic payment. Either party may cancel after the minimum term with 30 days' written notice.
6.3. Work beyond the plan's ticket allowance, design changes, new pages and new features are billed at $77 per hour or quoted separately.
6.4. Domains are registered in our account on your behalf. They are transferred to you within 14 days of a written request, provided no invoices are outstanding. Domain renewals outside an active care plan are billed at cost plus handling.
6.5. Email mailboxes are provided for normal business use. You create and manage mailboxes and passwords within your plan's limits. Bulk or unsolicited email, spam, phishing or any use that harms our sending reputation is prohibited and may lead to immediate suspension.
6.6. If your care plan is cancelled or unpaid, hosting, email and the domain's DNS stop at the end of the paid period. We provide an export of your website files and database on written request within 30 days of cancellation.
6.7. Websites hosted elsewhere are supported at $77 per hour; we are not responsible for third-party hosting performance or security.
7. Payment terms
7.1. All prices are in U.S. dollars. Accepted methods: ACH/wire transfer (no fee) and debit or credit card (2.50% + $0.50 processing fee). Checks are not accepted.
7.2. Project schedule: as stated in the proposal; by default 50% at order, 25% at design approval, 25% at delivery. The final balance is due before the website or application goes live.
7.3. 24-month payment option: a setup payment of 10% of the project price at order, then 24 equal monthly payments by automatic card or ACH payment. Title to the deliverables transfers after the last payment. Early payoff is allowed at any time with no penalty.
7.4. Invoices are due within 30 days unless otherwise stated. Late payments incur a 10% late fee plus a $25 administrative fee per incident, and services may be suspended until payment.
7.5. Deposits and setup payments are non-refundable unless agreed otherwise in writing.
8. Ownership and transfer
8.1. Websites, applications and domains are transferred to you only after full payment of all related invoices.
8.2. Licensed stock assets, fonts and third-party components remain subject to their own licenses.
9. Limitation of liability
9.1. Services and deliverables are provided "as is". We make no warranty as to results, uptime, data integrity or security beyond what is expressly stated in these Terms.
9.2. We are not liable for lost revenue, lost profits, lost data, business interruption or any indirect or consequential damages. Our total liability for any claim is limited to the amount you paid for the specific service giving rise to the claim during the 12 months preceding the claim.
9.3. You indemnify The Good Lead against third-party claims arising from content you supplied, rights you misrepresented, your breach of these Terms or your use of the deliverables.
10. Confidentiality
10.1. Each party protects the other's non-public information and uses it only to perform under these Terms.
10.2. Standard exceptions apply: information that is public, already known, independently developed or required to be disclosed by law.
10.3. Obligations last three years after the end of the relationship, or as long as the information remains confidential. Either party may seek injunctive relief for a breach.
11. Portfolio and publicity
11.1. We may display work performed for you in our portfolio, on our website and in proposals. You may opt out in writing; we comply within 14 days.
11.2. Testimonials and case studies are voluntary and published only with your approval.
12. Client content and DMCA
12.1. You warrant that you own or have the rights to all content you provide.
12.2. We remove content subject to a valid DMCA takedown notice and notify you. Repeat infringement may result in termination.
13. Termination
13.1. We may terminate immediately for non-payment, abusive conduct, unlawful content or a breach of these Terms.
13.2. You may terminate a project with written notice and payment for work completed to date. Deposits and setup payments are non-refundable.
13.3. Sections 1.7, 5.2, 6.6, 8, 9, 10 and 11 survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of New York. The parties will attempt to resolve any dispute in good faith for 30 days; failing that, disputes are submitted to the state or federal courts located in Westchester County, New York.
15. Force majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, outages of hosting or third-party platforms, cyberattacks, labor disputes or government actions.
16. Miscellaneous
16.1. These Terms, together with the applicable proposal and invoices, form the entire agreement. In case of conflict, the signed proposal prevails.
16.2. We may update these Terms; material changes are notified by email or on this page. Continued use of our services after notice constitutes acceptance.
16.3. If any provision is held invalid, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. Notices are valid by email to the addresses on file.
